The Company was established on August 16, 1972 in Jakarta under the name PT Lion Metal Works Tbk as a Foreign Capital Investment company and was founded as a joint venture between Indonesian businessman with Singaporean and Malaysian companies, based on Notarial Deed No. 21 dated August 16, 1972 of Drs. Gde Ngurah Rai SH, as amended by Notarial Deed No.1 dated June 2, 1973 and No. 9 dated November 11, 1974 by the same notary. The Deed of Establishment and the amendments were published in Supplement No. 215 of State Gazette No. 34 dated April 29, 1975. In 1993, the Company received approval from the Chairman of the Capital Market Supervisory Agency (BAPEPAM) to offer a portion of its shares to the public through an Initial Public Offering of 3,000,000 shares and the partial number of shares listed on stock exchange was 5.501.000 shares. In 1996, the Company distributed 3,251,000 shares as share dividend, 3,251,000 bonus shares with the ratio 4:1 and the Company’s First Limited Public Offering of 32,510,000 shares on the basis that every 3 existing shares will be entitled to rights to purchase 5 shares at Rp1,000,- per share. The total number of shares listed on the Indonesia Stock Exchange is 52,016,000 shares. On October 16, 1997, Lion Enterprise Sdn. Bhd., Kuala Lumpur, one of the foreign shareholders, sold 15,006,000 shares in the Company to Lion Holdings Sdn. Bhd., Kuala Lumpur (formerly Capitalvent Industries Sdn. Bhd.). The Investment Coordinating Board had approved the change in the Company’s share ownership. On April 7, 1997, the Company acquired 96% of the equity of PT Singa Purwakarta Jaya ("SPJ") and increased its ownership to 99,5% in year 2009. SPJ is a domestic company which will be involved in general trading, real estate, and industrial estate. Currently, SPJ is still in the development stage (pre-operational). The Company’s Article of Association has been amended several times to comply with Corporate Law No. 1 year 1995 and the change of capital to Rp200,000,000.-, and the lastest amendment was notarized under Notarial Deed No. 32 dated June 10, 2008 by Fathiah Helmi SH, in compliance with Corporate Law No. 40 year 2007 and has been approved by Ministry of Law and Human Rights of the Republic of Indonesia in its Decision Letter No. AHU-86982.AH.01.02 Year 2008 dated November 18, 2008.
