PT Lionmesh Prima Tbk ('Company') was established on December 14, 1982, in Jakarta as a Domestic Capital Investment Company (PMDN). The Company, formerly known as PT Lion Weldmesh Prima, is in the welded wire mesh manufacturing business. In 1990, the Company received approval from the Chairman of Capital Market Supervisory Agency (BAPEPAM) acting on behalf of the Minister of Finance of the Republic of Indonesia, to offer a portion of its shares to the public through an Initial Public Offering of 600,000 shares. On November 5, 1990, the Company was listed on the Jakarta and Surabaya Stock Exchange (Company Listing). Following the approval obtained at the General Meeting of Shareholders on January 3, 1994, the Company distributed 3.2 million bonus shares with a total value of Rp3.2 billion. The bonus shares were partially derived from the share premium. On March 1, 1994, these shares were listed on the Jakarta and Surabaya Stock Exchanges. Then, on June 27, 1995, the Company made its First Right Offering of 4.8 million shares. This Right Offering was approved by the shareholders based on Deed No. 296, dated June 26, 1995. The notarized deed was drawn up by Adam Kasdarmadji, SH., on the condition that one existing share gets the right to purchase one new share at the offer price of Rp1,000.- each. The Company’s Articles of Association since the Initial Public Offering has been amended several times. The Articles were amended to comply with the 1995 Incorporation Law No. 1, the 1995 Stock Market Law No. 8 regarding Market Capitalization and the implementation procedures, and incorporated through a notarized deed No. 88, dated May 7, 1997, by Indah Prastiti Extensia, SH., replacing Adam Kasdarmadji, SH., which include articles such as the Company’s name, goal and objective, duration and increase in the Company’s authorized capital to Rp38,000,000,000.-. The amendments were approved by the Minister of Justice, Republic of Indonesia through his letter No. C2-2560 HT.01.04.Th98 dated 27 March 1998. The latest amendments to the Company’s Articles of Association were covered by Notarial Deed No. 29 dated June 10, 2008 by Fathiah Helmi, SH., in compliance with Corporate Law No. 40 of 2007 on Company’s Articles of Association. These amendments were approved by the Minister of Laws and Human Rights in his letter No. AHU-86981.AH.01.02 Year 2008 dated November 18, 2008.
